The Society

Terms of Membership

These Terms of Membership (the “Terms”) are a binding agreement between you (“you,” “Member,” or “applicant”) and THE SOCIETY BY BSD LLC, a Florida limited liability company (“The Society,” “we,” “us,” or “our”). By submitting an application, joining, or using the member portal or any Society service, you agree to these Terms, the Privacy Policy, and the Community Guidelines / Code of Conduct, each incorporated by reference.

1. Eligibility & Membership

1.1 Who may join. Membership is open to professionals in and around the dental field, including dentists, specialists, associate dentists, practice owners, dental hygienists, practice managers and team leads, dental students, and industry professionals. We may set and update eligibility criteria at any time.

1.2 Application and review. Membership is by application. As part of review, we may consider information you provide and information that is publicly available about you. We accept or decline applications at our discretion based on our eligibility criteria and fit for the community.

1.3 Non-discrimination. We do not make membership decisions on the basis of race, color, religion, sex, sexual orientation, gender identity, national origin, age, disability, or any other characteristic protected by applicable law.

1.4 Nature of membership. Membership is a personal, limited, revocable, non-transferable license to access the community and its content for your own professional use. It confers no ownership, equity, or other interest in The Society, and may not be shared, resold, or assigned.

1.5 Accurate information. You agree that the information you provide (including your professional title, specialty, license status, and directory profile) is accurate and current, and you will keep it updated. The Society does not independently verify members’ credential or specialty claims.

2. Membership Tiers & Fees

2.1 Fees. Membership is a recurring subscription. The standard membership fee is $97 per month, unless a promotional or special rate applies (for example, a founding-member or student rate). Your current rate and any active promotion are shown at sign-up. We may change fees on a going-forward basis with notice; a change will not affect a validly locked founding-member rate except as described below.

2.2 Founder rate. The Founder rate is a limited program offered only to applicants who are accepted into The Society on or before October 6, 2026. The Founder rate:

  • applies only for so long as your membership remains continuous and in good standing;
  • is forfeited permanently if you voluntarily cancel; if you later rejoin, you will pay the then-current standard rate;
  • will not be forfeited for a failed payment if you cure the failure within the grace period in Section 3.4 (ten (10) days); and
  • may be modified or discontinued by The Society on a going-forward basis, subject to any locked rate then in effect.

3. Billing, Auto-Renewal & Cancellation

3.1 Recurring subscription. Membership is a recurring paid subscription (monthly or annual, depending on your plan) billed through our payment processor. Your membership automatically renews at the end of each billing period at the then-applicable rate until you cancel.

3.2 Consent to auto-renewal. At sign-up you affirmatively consent to the automatic-renewal terms, including the recurring charge, the billing frequency, and that charges continue until you cancel.

3.3 Cancellation. You may cancel at any time from your account settings in the member portal. Cancellation takes effect at the end of the current billing cycle. You retain access until then. We do not prorate partial cycles.

3.4 Failed payments. If a payment fails, we may retry and will provide a grace period of ten (10) days to update your payment method before your membership is suspended or terminated.

3.5 Price changes. We may change fees on a going-forward basis with advance notice. Continued membership after the effective date constitutes acceptance of the new fee.

4. Refunds

4.1 Monthly memberships. Monthly fees are non-refundable. You may cancel at any time to stop future charges, effective at the end of the current cycle. However, cancellation will not result in a refund or reduction of the monthly fee for the current membership cycle. The member will remain responsible for the full membership fee for the full cycle, regardless of date of cancellation.

4.2 Annual memberships. Annual fees are refundable only if you request a refund within seven (7) days of the initial annual charge; after that, annual fees are non-refundable. You may cancel at any time to stop renewal at the end of the annual term.

4.3 Termination for cause. If we terminate your membership for a violation of these Terms or the Community Guidelines, you are not entitled to any refund.

4.4 Payment disputes. If you believe you were charged in error, contact us at support@insidethesociety.com before initiating a chargeback so we can resolve it.

5. Continuing Education (CE)

5.1 Accreditation. Certain Society content is made CE-eligible through a third-party accreditation partner and is intended to qualify for AGD-recognized continuing education credit. The Society itself does not represent that it is an independent accrediting body.

5.2 Your responsibility. You are responsible for confirming that any credit satisfies the requirements of your own licensing jurisdiction and for maintaining your own CE records. The Society is not the authoritative record of your continuing education for your licensing board.

5.3 Commercial support. Sessions may receive commercial support or feature sponsors. Where required by accreditation standards or applicable law, commercial support and any relevant conflicts of interest will be disclosed.

5.4 No guarantee. It is the participant’s responsibility to verify with the applicable state licensing board or other regulatory authority whether the course content and/or program satisfies the requirements for continuing education (CE) credits in their jurisdiction. The provider does not guarantee that the course will qualify for CE credit in any particular state or jurisdiction.

6. Intellectual Property & Confidentiality

6.1 Society content. All sessions, recordings, coaching calls, written materials, and other content we provide are owned by or licensed to The Society. You receive a personal, non-transferable, non-commercial license to access this content while you are a Member. You may not record, download (except where a feature expressly allows), reproduce, redistribute, resell, or publicly share Society content or session recordings, in whole or in part.

6.2 Member content. You retain ownership of content you post (for example, in the Feed, messages, or Job Board). You grant The Society a worldwide, royalty-free license to host, display, store, and use that content for operating and promoting the community. You represent that you have the rights to post it and that it does not infringe anyone’s rights or reveal confidential or patient information.

6.3 Confidentiality. Proprietary methods, materials, and non-public information shared by guests, speakers, or members within the community are confidential. You agree not to share them outside The Society without permission.

7. Acceptable Use

Your use of the community is governed by the Community Guidelines / Code of Conduct, incorporated here by reference. Those rules include, among other things, prohibitions on harassment and defamation, a strict prohibition on posting patient-identifiable information, a requirement of accurate professional representation, and a prohibition on discussing or coordinating specific fees, pricing, or reimbursement (antitrust).

8. Suspension & Termination

8.1 By us. We may suspend or terminate your membership, remove content, or restrict features, at our discretion, including for: breach of these Terms or the Community Guidelines; non-payment; misrepresentation in your application or profile; conduct that harms the community or another member; or where required for legal or safety reasons.

8.2 Effect. On termination, your license and access end and any locked rate is forfeited. Termination for cause does not entitle you to a refund.

8.3 By you. You may cancel at any time under Section 3.3.

8.4 Survival. Sections on Intellectual Property & Confidentiality, Disclaimers, Limitation of Liability, Indemnification, and Dispute Resolution survive termination.

9. Disclaimers

9.1 Not professional advice. The Society is a peer education and networking community. Content and member communications are for general educational purposes and should not be relied upon for clinical, legal, financial, tax, or business advice. No professional-client or practitioner-patient relationship is created.

9.2 Your decisions. You are solely responsible for your own clinical, business, and compliance decisions, and for your compliance with all laws and professional obligations that apply to you.

9.3 Member interactions and content. We do not endorse or verify member content, directory listings, Job Board postings, or advice exchanged between members, and we are not responsible for member-to-member interactions.

9.4 As-is. The community and content are provided “as is” and “as available” without warranties of any kind to the fullest extent permitted by law.

10. Limitation of Liability

To the fullest extent permitted by law, The Society and its owners, members, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim relating to your membership will not exceed the fees you paid to The Society in the twelve (12) months before the claim.

11. Indemnification

You agree to indemnify and hold harmless The Society and its owners and agents from claims, losses, and expenses (including reasonable attorneys’ fees) arising from your content, your use of the community, your professional conduct, or your violation of these Terms or applicable law.

12. Dispute Resolution; Governing Law

12.1 Governing Law; Jurisdiction; Venue; Attorneys’ Fees. This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-law principles. The parties agree that any action, proceeding, or dispute arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and each party consents to the personal jurisdiction and venue of such courts. The prevailing party in any action or proceeding arising out of or relating to this Agreement shall be entitled to recover its reasonable attorneys’ fees and costs from the non-prevailing party, in addition to any other relief to which the prevailing party may be entitled.

12.2 Informal resolution. Before starting any formal proceeding, you agree to contact us and attempt to resolve the dispute informally for at least thirty (30) days.

12.3 Binding arbitration; class-action waiver. Except for claims that qualify for small-claims court, any dispute will be resolved by binding individual arbitration administered by [AAA / JAMS] under its consumer rules, seated in [county], Florida. You and The Society waive any right to a jury trial and to participate in a class or representative action. [Attorney to finalize provider, rules, cost-sharing, and severability.]

12.4 Opt-out. You may opt out of arbitration by sending written notice to support@insidethesociety.com within thirty (30) days of first accepting these Terms; opting out does not affect the other Terms.

13. Changes to These Terms

We may update these Terms. Material changes will be communicated through the portal or by email. Continued membership after the effective date constitutes acceptance.
